These Terms and Conditions (“Terms”) govern your access to and use of oysterpos.com, including our website, software platform, applications, dashboards, tools, services, integrations, and related features, collectively referred to as the “Service.”

The Service is provided by Order Gurus LLC, with registered office at:

Oyster is a separate software product of Order Gurus LLC.
The Service is currently intended for business users located in the United States of America and the Caribbean islands.
By accessing, registering for, subscribing to, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. About Oyster
oysterpos.com provides software-as-a-service tools designed for restaurants, cafés, food-service operators, hospitality businesses, and related merchants.
The Service may include, depending on the selected plan, configuration, and availability:
  •  point-of-sale tools; 
  •  menu management; 
  •  order management; 
  •  inventory tools; 
  •  online ordering features; 
  •  customer management tools; 
  •  reporting and analytics; 
  •  staff and user management; 
  •  restaurant operational settings; 
  •  third-party integrations; 
  •  notification tools; 
  •  AI-assisted features; 
  •  related administrative tools. 
Oyster is a software platform only. Oyster does not operate restaurants, sell food or beverages, prepare orders, deliver goods, process in-person service, employ merchant staff, or control the day-to-day operations of any merchant using the Service.

2. Regions Served
oysterpos.com currently provides the Service to businesses located in the United States of America and the Caribbean islands.
We may decline, restrict, suspend, or discontinue access to the Service in any country, territory, or region where we determine that providing the Service would create legal, regulatory, tax, payment, operational, technical, or security concerns.

Accessing the Service from outside the United States or the Caribbean does not mean that oysterpos.com is offered, supported, or intended for use in that location.
You are responsible for ensuring that your use of the Service is lawful in the country, territory, or region where your business operates.

3. Eligibility and Account Registration
You must be at least 18 years old and legally able to enter into binding agreements to use the Service.
When creating an account, you agree to provide accurate, current, and complete information. You are responsible for keeping your account information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you believe your account has been accessed without authorization.
We may refuse registration, suspend access, or terminate accounts where we believe information is inaccurate, incomplete, misleading, unlawful, abusive, or otherwise harmful to the Service or other users.

4. Business Accounts, Tenants, and Authorized Users
The Service may allow a business to create one or more locations, users, roles, permissions, registers, menus, stores, or operational settings.
The person or entity creating the business account is responsible for:
  •  managing authorized users; 
  •  assigning correct permissions; 
  •  maintaining secure passwords; 
  •  removing users who should no longer have access; 
  •  ensuring staff use the Service appropriately; 
  •  reviewing account activity; 
  •  complying with all laws applicable to the business. 
Actions taken by users under your account may be treated as authorized actions by your business.

5. Subscription Plans and Billing
Access to Oyster may require an active paid subscription.
Subscription pricing included features, usage limits, billing frequency, add-ons, and available plans may vary and may be updated from time to time.
Unless otherwise stated, subscriptions renew automatically until cancelled.
You are responsible for ensuring that your billing information remains accurate and current.

6. Paddle Billing
Oyster subscription billing is managed by Paddle.
Paddle may act as the merchant of record for subscription payments. This means Paddle may manage checkout, payment processing, applicable taxes, billing compliance, invoices, receipts, chargebacks, and certain buyer support functions.

When you purchase, renew, or manage a subscription, you may be required to accept Paddle’s applicable checkout terms, buyer terms, payment terms, and related policies.
Your payment information is processed by Paddle or its payment partners. Oyster does not store full payment card details.

7. Cancellations and Refunds
You may cancel your subscription through the available subscription management tools, Paddle buyer portal, or by contacting support where applicable.
Cancellation generally takes effect at the end of the current billing period unless otherwise stated by Paddle or required by applicable law. Cancelling a subscription prevents future renewal charges but does not automatically entitle you to a refund for the current billing period.
Refund eligibility may depend on Paddle’s policies, applicable law, the nature of the subscription, timing of the request, and whether a technical or product defect prevents access to the purchased Service.
Oyster may, at its discretion and subject to Paddle’s processes and applicable law, approve or deny refund requests.

8. Taxes
Subscription prices may be exclusive or inclusive of taxes depending on your location, Paddle checkout configuration, and applicable laws.
Paddle may calculate, collect, remit, or manage applicable taxes, including sales tax, VAT, GST, or similar taxes, where required.
You are responsible for providing accurate billing, location, and tax information.
You remain responsible for any taxes, duties, filings, reporting, or compliance obligations related to your own business operations, merchant sales, employees, customers, or local legal requirements.

9. License to Use the Service
Subject to your compliance with these Terms and payment of applicable fees, Oyster grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business operations.
You may not:
  •  copy, resell, lease, sublicense, or commercially exploit the Service except as expressly permitted; 
  •  reverse engineer, decompile, or attempt to extract source code; 
  •  bypass security controls or usage limits; 
  •  interfere with the operation of the Service; 
  •  use the Service to build or support a competing product; 
  •  access the Service through unauthorized automated tools; 
  •  misuse integrations, APIs, credentials, or authentication tokens; 
  •  use the Service for unlawful, fraudulent, abusive, or harmful purposes. 

10. Merchant Responsibilities
Oyster provides software tools only. The merchant remains fully responsible for its business operations, customers, products, services, staff, legal compliance, taxes, payments, order fulfillment, and use of the platform. 

You are solely responsible for your business operations, including:
  •  products and services sold through your business; 
  •  menus, prices, taxes, fees, modifiers, and item availability; 
  •  order accuracy; 
  •  customer service; 
  •  refunds or disputes with your customers; 
  •  staff actions; 
  •  inventory counts and stock control; 
  •  accounting records; 
  •  local permits and licenses; 
  •  food safety and health compliance; 
  •  employment obligations; 
  •  consumer protection compliance; 
  •  tax reporting obligations not handled by Paddle. 
Oyster provides tools to assist with operations, but Oyster does not guarantee business performance, sales results, inventory accuracy, tax accuracy, profitability, or operational outcomes.

11. Customer Orders and Merchant Transactions
Where the Service supports online ordering, POS transactions, payments, customer communications, or other merchant-customer interactions, those transactions are between the merchant and the merchant’s customer.

Oyster is not responsible for:
  •  food quality; 
  •  preparation times; 
  •  delivery delays; 
  •  incorrect orders; 
  •  unavailable items; 
  •  customer disputes; 
  •  refunds owed by merchants to customers; 
  •  merchant pricing errors; 
  •  taxes charged by merchants to their customers; 
  •  compliance of merchant products or services. 
The merchant remains responsible for all transactions made through its business.

12. Payment Processing for Merchant Sales
Oyster may integrate with third-party payment providers, gateways, or merchant services to support merchant transactions.
Unless expressly stated, Oyster does not process merchant customer payments directly and does not store full payment card details.
Payment processing services are provided by third parties and are subject to their own terms, fees, compliance obligations, settlement rules, chargeback procedures, and availability.
You are responsible for configuring payment settings correctly and ensuring that your payment provider account remains active and compliant.

13. Third-Party Services and Integrations
The Service may connect with third-party services, including payment processors, messaging services, delivery tools, accounting platforms, AI providers, analytics tools, maps, notification systems, hardware providers, or other integrations.
Third-party services are governed by their own terms and privacy policies.
Oyster is not responsible for third-party service availability, errors, pricing, security incidents, policy changes, outages, data handling, or performance.
We may add, modify, suspend, or remove integrations at any time.

14. Hardware, Devices, Printers, and Networks
Oyster may support use with compatible devices, printers, cash drawers, scanners, tablets, terminals, browsers, or other hardware.
You are responsible for:
  •  purchasing and maintaining compatible hardware; 
  •  maintaining stable internet access; 
  •  keeping devices updated and secure; 
  •  configuring printers and local networks; 
  •  protecting devices from unauthorized access; 
  •  ensuring hardware is suitable for your business environment. 

Oyster is not responsible for hardware failure, network outages, local printer issues, device incompatibility, operating system updates, browser changes, or third-party equipment faults.

15. Availability, Maintenance, and Updates
We aim to provide a reliable Service, but we do not guarantee uninterrupted, error-free, or always-available access.
The Service may be unavailable due to:
  •  maintenance; 
  •  software updates; 
  •  emergency repairs; 
  •  hosting provider outages; 
  •  third-party service failures; 
  •  cyberattacks; 
  •  internet disruptions; 
  •  force majeure events; 
  •  user-side device or network issues. 
We may update, modify, improve, remove, or discontinue features at any time. Some updates may be required for security, compliance, performance, or product improvement.

16. Data, Backups, and Export
You retain ownership of business data you submit to the Service, subject to the rights granted to Oyster to host, process, transmit, display, secure, back up, and use such data as necessary to provide the Service.
You are responsible for reviewing your data, maintaining appropriate records, and exporting or backing up information where needed for your business, accounting, tax, or legal obligations.
Although we may maintain backups or recovery systems, we do not guarantee that all data can be restored in every situation.
You should not rely on Oyster as your sole archive for legally required records.

17. Privacy and Personal Data
Use of the Service may involve the collection and processing of personal data. Personal data is handled according to our Privacy Policy and applicable data protection practices.
You are responsible for ensuring that your use of the Service complies with privacy, employment, consumer protection, marketing, and data protection laws applicable to your business and customers.
If you upload, collect, or process personal data through Oyster, you represent that you have the required authority, consent, notice, or lawful basis to do so.

18. Cookies
oysterpos.com uses only strictly necessary cookies required for security and platform functionality, as described in our Cookie Policy.
If Oyster later introduces non-essential cookies, analytics cookies, advertising cookies, or tracking technologies, the Cookie Policy may be updated and consent or opt-out controls may be introduced where required.

19. AI-Assisted Features
Oyster may include AI-assisted features designed to help users with tasks such as operational suggestions, content generation, reporting support, menu assistance, summaries, or other productivity tools.
AI-assisted outputs may be inaccurate, incomplete, outdated, or unsuitable for your specific circumstances.
You are responsible for reviewing and verifying all AI-generated content before relying on it or using it in your business.
AI features must not be used to generate unlawful, misleading, discriminatory, harmful, infringing, or abusive content.
We may limit, suspend, modify, or disable AI features at any time, including to control costs, prevent abuse, comply with law, or protect the Service.

20. Notifications and Communications
The Service may support notifications through email, browser notifications, push notifications, SMS, WhatsApp, or other communication channels.
You are responsible for ensuring that any customer or staff contact information entered into the Service is accurate and lawfully collected.
You are responsible for obtaining any consent required to send messages, alerts, marketing communications, order updates, or other notifications to customers, staff, or third parties.
Oyster is not responsible for failed, delayed, blocked, filtered, undelivered, or incorrectly configured notifications.
Third-party messaging services may charge fees, impose limits, reject templates, suspend accounts, or modify their terms at any time.

21. Acceptable Use
You agree not to use the Service to:
  •  violate any applicable law or regulation; 
  •  infringe intellectual property or privacy rights; 
  •  upload malicious code or harmful content; 
  •  attempt unauthorized access to systems or accounts; 
  •  disrupt, overload, or damage the Service; 
  •  send spam or unlawful communications; 
  •  misrepresent your identity or business; 
  •  process unlawful transactions; 
  •  store or transmit prohibited, offensive, or harmful content; 
  •  abuse support, billing, notification, AI, or integration features. 
We may investigate suspected misuse and suspend or terminate access where necessary.

22. Security
You are responsible for maintaining reasonable security over your account, devices, staff access, passwords, API credentials, payment credentials, integrations, and local networks.
You must notify us promptly of any suspected unauthorized access, data breach, credential compromise, or misuse involving your account.
We may take security measures including forced password resets, access restrictions, account suspension, feature limitation, or credential revocation.

23. Intellectual Property
The Service, website, software, designs, interfaces, logos, trademarks, source code, databases, workflows, features, documentation, and related materials are owned by Order Gurus LLC or its licensors.
These Terms do not transfer any ownership rights to you.
You may not use Oyster’s name, branding, logos, trademarks, screenshots, or marketing materials without prior written permission, except where expressly allowed.

24. Feedback
If you provide suggestions, feedback, ideas, bug reports, feature requests, or other recommendations, you grant Order Gurus LLC the right to use them without restriction, compensation, or obligation to you.

25. Confidentiality
You may receive access to non-public information about Oyster, including software features, pricing, technical configurations, product roadmaps, credentials, documentation, or business information.
You agree not to disclose confidential information except as required to use the Service or as required by law.
26. Suspension and Termination
We may suspend or terminate your access to the Service immediately, with or without notice, if:
  •  you violate these Terms; 
  •  payment fails or your subscription expires; 
  •  your use creates security, legal, financial, or operational risk; 
  •  you misuse the Service; 
  •  required third-party services are unavailable; 
  •  your account information is inaccurate or fraudulent; 
  •  we are required to do so by law; 
  •  continued service is no longer commercially or technically feasible; 
  •  your business operates in a region where we do not support the Service. 
Upon termination, your right to use the Service ends immediately.
We may delete, restrict, retain, or archive account data according to our policies, legal obligations, and technical limitations.

27. Disclaimers
The Service is provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, Order Gurus LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, security, compatibility, and uninterrupted operation.
We do not warrant that the Service will be error-free, secure, uninterrupted, compatible with all hardware, or suitable for every business need.

28. Limitation of Liability
To the fullest extent permitted by law, Order Gurus LLC, its owners, directors, officers, employees, contractors, affiliates, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, exemplary, or business losses, including loss of profits, revenue, data, goodwill, customers, business opportunities, or operational continuity.
To the fullest extent permitted by law, our total liability for any claim relating to the Service shall not exceed the amount paid by you for the Service during the three months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

29. Indemnification
You agree to indemnify, defend, and hold harmless Order Gurus LLC, its owners, directors, officers, employees, contractors, affiliates, suppliers, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to:
  •  your use or misuse of the Service; 
  •  your business operations; 
  •  your products or services; 
  •  your customers, staff, users, or locations; 
  •  your violation of these Terms; 
  •  your violation of law; 
  •  your violation of third-party rights; 
  •  your data, content, menus, prices, or account settings; 
  •  disputes between you and your customers; 
  •  disputes between you and your staff or contractors; 
  •  your use of the Service outside supported regions. 

30. Force Majeure
Order Gurus LLC shall not be liable for delay, failure, interruption, or inability to perform resulting from events beyond its reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, labor disputes, cyberattacks, utility failures, internet outages, hosting provider failures, third-party service outages, government action, pandemics, or other events outside our reasonable control.

31. Changes to the Service or Terms
We may update these Terms from time to time.
When changes are made, we may update the “Last Updated” date and may provide notice through the website, platform, email, or other reasonable means.
Continued use of the Service after changes become effective means you accept the updated Terms.

32. Governing Law and Jurisdiction
These Terms are governed by the laws of the United States of America and, where applicable, the laws of the State of Wyoming, without regard to conflict-of-law principles.
The courts located in the United States of America shall have jurisdiction over disputes arising from or relating to these Terms, unless applicable law requires otherwise.
